TERMS & CONDITIONS

The Vativis Health, LLC ("Vativis") is a membership-based subscription model for the most commonly used outpatient services bundled together for easy patient access for a low monthly cost (the “Services”). Vativis is not an insurance provider, a managed care organization, an organized delivery system, and is not considered Minimum Essential Coverage. Vativis does not guarantee the availability or provision of healthcare services nor is it a substitute for comprehensive health insurance coverage. Vativis does not provide access to specialty care, hospitalization, or other healthcare services beyond primary care resources. Vativis enables direct provider/patient relationships eliminating the high cost and hard to access barriers associated with insurance products. Membership fees paid for Vativis are not reimbursable through health insurance plans. Third-party administration (TPA) services are provided by The Ark Group, to which the rights and access granted below inures in full for provision of such services.


TERMS OF SERVICE

By activating your Membership (“Membership”) and using Vativis you agree to all of the terms and conditions of this Vativis Services Usage Agreement (“Usage Agreement”). If you do not agree with any of the terms or conditions contained herein, please do not use Vativis’s Services. Vativis reserves the right to change, modify, amend, edit, or suspend its Services, this Usage Agreement, or the terms or conditions contained herein at any time. Changes to the agreement will be periodically made and included in a new “Usage Agreement” which will be posted in replacement of the old “Usage Agreement.” Your continued use of Vativis following the posting of any changes will mean that you have accepted the changes.


RATE INCREASES

Network vendors determine their rates for Services based on member utilization. Vativis reserves the right to automatically adjust prices for the Services based on changes in market conditions, inflation, or other factors including when member utilization of services exceeds the vendor’s utilization threshold. Vativis will provide members with 30 days’ notice of rate increases. Upon notice of a rate increase, continued use of the Services after the effective date of the rate increase shall constitute the member’s acceptance of the new rates.


MEMBERSHIP TERMS AND SUBSCRIPTION

Membership Plans are based on a monthly term. Your monthly membership will begin on the date of your activation email and will renew on the same day every month thereafter until the Membership Plan is canceled.

After an initial 90 days, if you wish to cancel your Membership Plan, you must notify Vativis via email at support@vativis.com. To avoid being charged for the following month, cancellation requests must be received five (5) business days before the next billing date. Vativis will send a confirmation email upon receipt of your cancellation request. It is your responsibility to ensure the cancellation is confirmed.


PAYMENT FREQUENCY & RATE

Memberships are billed monthly, and rates may vary depending on the number of enrollees and the nature of the Services.

VENDOR HOURS

Each third-party vendor who provides Services to network members determines and publishes their own hours of operation, and Vativis cannot guarantee hours of vendor services.


MEMBERSHIP RENEWAL

Memberships renew monthly on the day before the effective date of your membership.


VENDOR SERVICES (APPLICABLE TO SERVICES PURCHASED)

PHARMACY SERVICES

This is a Pharmacy Subscription Program. THIS IS NOT AN INSURANCE PRODUCT. We provide you with direct access to medications at negotiated third-party Pharmacy Benefit Manager and Home Delivery Pharmacy pricing on a prepaid basis. RX Valet LLC offers solutions for high-priced specialty medications via an International Pharmacy or Patient Assistance Program service. In addition, a discount pharmacy solution is available, where you search discount options and are directed to a specific pharmacy with the best pricing. Sometimes this can be your lowest price option. Only certain doses and quantities for each medication are offered through this program.

Mail order availability limitations include controlled substances and some specialty medications. All purchases are subject to a valid prescription from a licensed health provider.


TELEMEDICINE

The Virtual Primary Care program does not guarantee that a prescription will be written. The Virtual Primary Care program does not prescribe DEA-controlled substances, lifestyle drugs, and certain other drugs which may be harmful due to their potential for abuse. The Virtual Primary Care program physicians reserve the right to deny care for potential misuse of services. The Virtual Primary Care program operates in all states and is subject to state regulations.


BALANCE FOR LIFE

Dental, Vision, and other services is administered by New Benefits

This program is NOT insurance coverage and does not meet the minimum creditable coverage requirements under the Affordable Care Act or Massachusetts M.G.L. c. 111M and 956 CMR 5.00. It contains a 30-day cancellation period, provides discounts only at the offices of contracted health care providers, and each member is obligated to pay the discounted medical charges in full at the point of service. The range of discounts for medical or ancillary services provided under the program will vary depending on the type of provider and medical or ancillary service received. Members shall receive a reimbursement of all periodic membership fees if membership is canceled within the first 30 days after the effective date.   • Dental Disclosure: The discount program provides access to the Aetna Dental Access® network, which is administered by Aetna Life Insurance Company (ALIC). ALIC does not offer or administer the discount program, and is not an affiliate, agent or principal of the discount program. Dental providers are independent contractors and not employees or agents of ALIC. ALIC does not provide dental care or treatment and is not responsible for outcomes.

  • Lab Testing Disclosure: Lab benefit not available in NJ, NY, and RI.

  • Diagnostic Imaging Disclosure: Certain services may not be available in all geographical locations. This program is not available to VT, UT, or WA residents.


OUT-PATIENT LAB SERVICES (QUEST SELECT)

Includes routine outpatient testing and does not include:

  • Testing ordered during hospitalization
  • Lab work that is needed on an emergency or (STAT) basis
  • Testing completed at another laboratory
  • Time-sensitive esoteric testing such as fertility testing, bone marrow studies, and spinal fluid tests. Not all labs that can be prescribed are included in this program. Provider collection and handling fees may apply.

Doctegrity LifeVitals

Doctegrity LifeVitals is a cloud-based engine that processes the encrypted extracted facial blood flow data received through the API to return and store the end user’s measurement results. The end user Data generated by the member is logically separated from other end user data generated by other Doctegrity customers. The LifeVitals SaaS engine is currently deployed on Amazon Web Services. Measurements include: Heart rate, Breathing rate, Blood Pressure, Variable Heart Rate, Mental Health Stress calculator, risk assessments and general wellness scoring.

Concierge Service (Hospital Bill Eraser)

This is a patient advocacy service and is not an insurance policy nor is it affiliated or serviced by any insurance carrier. All savings examples are demonstrative, and no savings are guaranteed. The results of any particular advocacy service offered will vary from case to case with the services possibly resulting in more favorable, less favorable, or the same as outcomes described. Pre-Pricing of doctor ordered procedures and Post Bill Negotiation are on a best effort basis and Vativis offers no guarantee of exact savings or reductions in fees or bills. Regardless of the services provided and outcomes, you are always personally responsible for your own medical bills, any tax benefits resulting from the services, and any necessary reporting to employers, carriers or providers. The bill negotiation service only applies to facility inquiries and medical bills that are incurred by the member one day after each member's respective activation date. Elective medical procedures not included. Vativis reserves the right to modify, improve, change, or discontinue any or all Services. This service is provided by CareGuide Advocates LLC.


PRIVACY

Vativis is committed to keeping any and all personal information collected from those individuals that visit our website and make use of our online facilities and services accurate, confidential, secure and private. Our privacy policy has been designed and created to ensure those affiliated with Vativis of our commitment and realization of our obligation not only to meet but to exceed most existing privacy standards.


Limitation of Liability

In no event will Vativis, any of its partners, providers, affiliates, agents, including their respective officers, directors, employees or representatives, be liable for any indirect, incidental, compensatory or punitive damages or damages resulting from loss of monies arising out of the use, inability to use, or the results of use of Vativis Services. You agree to indemnify, defend and hold harmless Vativis, its service providers, and each of their subsidiaries, affiliates, officers, directors, shareholders, beneficiaries, members, partners, employees, consultants, attorneys and agents and their respective successors and assigns, if any, (collectively the “Indemnified Parties”) from and against all claims, actions, losses, liabilities, damages, costs and expenses (including, but not limited to, attorneys’ fees and costs) arising from or relating to your use of the Services . Vativis’s comments and recommendations presented to members are not medical advice and are based on research and opinions collected by network employees and are subject to change at any time. In addition, all responses will be provided based upon REASONABLE research and efforts on behalf of our staff. No guarantees can be given on the effectiveness of Vativis Services.


VENUE AND APPLICABLE LAW

The validity, performance, construction, and interpretation of this Agreement shall be governed by the laws of the State of Delaware. You hereby agree to submit any controversy to, and to the personal jurisdiction of, the District Court for New Castle County, Delaware and/or the United States District Court for the District of Delaware, which shall have personal and subject matter jurisdiction and venue over all controversies in connection herewith.


VATIVIS NOTICE

All notices to a party shall be in writing and shall be made via U.S. mail at the address set forth below, or the member’s address on file, upon acceptance of this User Agreement.
